Terms of Service

These Terms of Service ("Terms") govern your use of Neume (the "Service"). By accessing or using the Service, you agree to these Terms.

• Article 1 (Purpose)

  These Terms are intended to stipulate the rights, obligations, and responsibilities between the operator of Neume ("the Company") and users in relation to the use of the AI-based replica, memory, and chat service ("the Service") provided by the Company.

• Article 2 (Definitions)

  "Service" means the Neume platform, including AI replica conversations, memory and gallery features, and credit-based paid features.

  "User" means any person who accesses or uses the Service in accordance with these Terms.

  "Replica" means an AI character or persona created or used within the Service.

  "Content" means any text, images, or other materials that users create, upload, or generate through the Service.

• Article 3 (Effectiveness and Changes)

  These Terms take effect by posting them on the Service or notifying users by other means.

  The Company may change these Terms when there is a reasonable reason. If the Terms are changed, the Company will notify users of the changed content and the effective date at least 7 days before the effective date.

  If you do not agree to the changed Terms, you may discontinue using the Service.

  Previous versions of these Terms may be retained for reference where permitted by law.

• Article 4 (Provision of Service)

  The Company provides the following services: AI-based replica conversations and memory features; gallery and image generation features; credit-based paid features; and other features determined by the Company.

  The Service is provided in principle 24 hours a day, 365 days a year, but may be temporarily suspended for maintenance, failure of facilities, or other operational reasons.

  The Company may temporarily suspend the provision of the Service for reasons such as maintenance, replacement, or failure of information and communication facilities, or interruption of communication.

• Article 5 (AI-Generated Content)

  The Service uses AI to generate replica responses, images, and other content. Such content is for personal, non-commercial use within the Service.

  The Company does not guarantee the accuracy, completeness, or appropriateness of AI-generated content. You are responsible for your use of such content and for any content you create or share through the Service.

  Due to the limitations of AI technology, generated content may be inaccurate or inappropriate. The Company is not liable for damages arising from reliance on AI-generated content.

• Article 6 (User Obligations)

  You must not: register false information when signing up or updating your account; use another person's information without authorization; alter information posted by the Company; infringe the intellectual property or other rights of the Company or third parties; damage the reputation of the Company or third parties or interfere with their business; or post or share obscene, violent, or otherwise unlawful content through the Service.

  You must comply with applicable laws, these Terms, and any notices provided by the Company, and must not use the Service in a way that interferes with the Company's operations.

• Article 7 (Privacy)

  The Company collects and uses personal information only to the extent necessary to provide the Service. The collection and use of personal information are governed by the Company's Privacy Policy and applicable law.

  By using the Service, you consent to the processing of your information as described in the Privacy Policy.

• Article 8 (Service Suspension)

  The Company may temporarily suspend the Service for reasons such as maintenance, failure of facilities, or interruption of communication.

  The Company is not liable for damages to you or any third party due to temporary suspension of the Service, except where the Company has acted with intent or gross negligence.

• Article 9 (Copyright and Intellectual Property)

  Copyrights and other intellectual property rights in works created by the Company belong to the Company.

  You may not use information to which the Company holds intellectual property rights, obtained through the Service, for commercial purposes or allow third parties to use it by reproduction, transmission, publication, distribution, or other means without the Company's prior consent.

• Article 10 (Disclaimer)

  The Company is exempt from liability for provision of the Service when the Service cannot be provided due to force majeure or similar causes.

  The Company is not liable for obstacles to use of the Service due to reasons attributable to you.

  The Company is not liable for lost profits or other damages arising from your use of the Service, unless the Company has acted with intent or gross negligence.

  The Company is not liable for the accuracy or appropriateness of AI-generated content or of content that you or others post or share through the Service.

  The Company is not liable for the use of free parts of the Service unless otherwise required by applicable law.

• Article 11 (Payments, Nature of Credits, and Refunds)

  Purchases of credits or other paid features may be processed through the Company's designated payment providers (e.g. PayPal, PortOne, Kakao Pay, or other domestic PG channels) or through app-market payment methods. You agree to the applicable terms and policies of the relevant payment channel.

  Credits, points, Trace, or similar units offered in the Service ("Credits") are not cash, deposits, or property that you own. They constitute a limited, non-exclusive, non-transferable right to use designated features within the Service only. Credits cannot be exchanged for cash outside the Service, pledged, sold, or transferred to third parties.

  Paid Credits are subject to applicable law (including consumer-protection and e-commerce rules), the relevant app-market or payment-provider policy, and the Company's refund policy. You may request withdrawal or payment cancellation within 7 days from the purchase date. However, refunds are available only where the purchased Credit bundle has not been used at all, or to the extent there is an unused portion that qualifies as a separable digital-content portion not yet provided under applicable law. Any Credits already used or consumed, or any portion for which digital-content provision has already begun, may be restricted from withdrawal under applicable law.

  For Google Play, App Store, and other third-party payment methods, the relevant store or payment provider's refund rules and procedures take priority. If duplicate charges, overpayments, or service defects attributable to the Company or the payment provider are confirmed, the Company may refund or re-credit the relevant amount after review. Credits granted free of charge or as part of promotions or events may expire or be forfeited in accordance with separate notices or policies and may not be refundable on the same terms as purchased Credits.

  The Company may change or discontinue the Service or parts of it. The Company will follow any legally required steps, including reasonable advance notice where applicable. Upon termination of the Service or discontinuation or modification of the credit system, the rights described above may end. Unused purchased Credits at that time will be handled according to the policy announced at such time and applicable law.

  Unless otherwise stated, purchased Credits are generally non-refundable to the extent they have already been used or digital-content provision has already begun in a manner that restricts withdrawal under applicable law.

• Article 12 (Governing Law and Disputes)

  These Terms are governed by and interpreted in accordance with the laws of the Republic of Korea.

  Disputes arising from the use of the Service shall be subject to the exclusive jurisdiction of the court having jurisdiction over the Company's headquarters, unless otherwise required by mandatory law.

• Article 13 (Age Restriction)

  The Service is intended for users who are at least 17 years of age (or the age of majority in your jurisdiction, if higher). If you are under that age, you may not use the Service without the consent of a parent or legal guardian.
